AFFILIATE SERVICE AGREEMENT 
Vquest Inc operates the VQCash Affiliate Program. This is a program whereby internet based adult websites may direct traffic to our network of sites and receive a commission on a successful purchase.
 
The terms and conditions of this Agreement are as follows:
 
1. Program Functions:
1.1 Visitors to your Site shall be directed to VQCash Affiliate Program Sites via a variety of marketing tools created from within the Affiliate site (Vqcash.com). When you are approved you will receive a unique account number or ID. When logged in all links and codes will be prepopulated with the affiliates ID. When your links generate a sale you get paid. You may place and use marketing tools in appropriate adult oriented sites throughout the internet.
1.2 For instructions on how to use marketing tools please log into the affiliate area . You must install the HTML code properly in order for you to be credited with a sale. Termination or halting of payment may occur should you be involved in questionable or illegal business practices: spamming, illegal content, copyright infringement, domain name infringement, and any falsification of transactions. Affiliate agrees to obey the laws of the United States of America and respect the laws of the nations for which they reside .

1.3 Upon signup for the Vqcash program you will receive an email directed to you confirming you enrollment in the Vqcash Affiliate program.When communicating to us via email  (support@vqcash.com) please provide us with your Username and Password and if known, your affiliate ID. 

1.4 Your commission shall be earned on each referred transaction, which occurs when a user, directed from your site, purchases a product from a VQCash Affiliate Site. Sales returned or chargebacked are deducted from your earnings on the day they are processed against the participating merchant account.
 
2. Obligations:
2.1 The onus is on the affiliate to keep their personal contact and address information current on their accounts. VQuest Inc will email affiliates regular updates and service announcements – please ensure you read these carefully. Accurate payment information is important in order for affiliates to receive timely and correct payments. Re-issue of payments may require Vquest Inc to charge a $15USD fee.
2.2 The affiliate is responsible for respecting the laws of the Country, State / Province and City for which they reside. Vquest Inc complies with the laws of the United States of America in particular. This is not limited to the representation of adult materials online but also includes associated laws governing such activities. The Vquest Inc conducts its primary business in the province of Ontario Canada and as such the governing authority of this agreement shall be within the Jurisdiction of the Province of Ontario.
2.3 Affiliate agrees to ensure that their password and login information remain private and not to share these passwords. Affiliate agrees to keep confidential the nature of the affiliate and Vquest Inc’s financial arrangements. 
 
3. Rights Granted Affiliate:
3.1 VQuest Inc grants the right to affiliate to on a non-exclusive basis direct internet traffic to our network of sites. A list of sites on our network can be found at http://vqcash.com/sitelist.aspx.
3.2 VQuest Inc. grants the non-exclusive right to affiliate to use images, banners, still or moving clip images, links etc to help in the promotion of our network of sites to generate sales. VQuest Inc for clarity does not allow affiliate to re-sell videos or images from our network without traffic going through our affiliate programs.
 
4. Affiliate Commissions & Payment:
4.1 VQuest Inc payment periods are the 1st -15th, and the 16th- end of the month. Affiliate accounts are paid out at the minimum payout level of $50.00. VQuest Inc payments may be delayed by national holidays (AKA “Bank Holidays”) so expect payment after those holidays have concluded.  Accounts not reaching the minimum payout level within a period will have their account balance carried-over into the next payment period until the minimum payout balance is reached.

4.2 Specific commission percentages on sales will vary depending if the affiliate reaches certain sales thresholds. Refer to the Vqcash.com website for details.

5. Representations and Warranties:
5.1 The affiliate agrees that they operate a legitimate and lawful internet property. The affiliate certifies they are the person to execute legal agreements on behalf of their company. The affiliate warrants that entering into this agreement does not and will not constitute a breach of any existing contract or obligation undertaken by you; and that there are no outstanding orders, judgments, decrees, rules or regulations which would preclude you from entering into this Agreement. You shall indemnify VQquest inc. and its owners, employees & business partners, affiliate assigns any losses, damages, legal fees for conduct that was in violation of any part of this agreement.
5.2 termination and denial of payment. The affiliate agrees not to advertisements promoting VQuest Inc products on any sites of any dubious legal character nor on “torrent”, “password give aways” or “warez” type sites. Such conduct will result in the affiliates account being terminated or suspended.
5.3 The affiliate agrees not to engage in so called Spamming practices. Upon discovery of any spamming you’re account may be terminated or suspended. You agree not to engage in any fraudulent wire activity or any fraudulent postal activities.
 


6. Disclaimer and Limitation of Liability:
VQuest Inc does not warrant either explicitly expressed or implied with the performance of it’s links or content on the Vquest Inc network of sites. VQuest Inc does not warrant that any particular product will have a specific amount of revenue or return on affiliate’s invest. VQuest Inc shall not be held responsible for acts of god or force majeure to any person that result in the delay of service, losses, injuries or damages as a result of mistakes, omissions, delays, errors in the delivery of any of Vquest Inc. products or services.
 
7. Term and Termination of Agreement:
7.1 This agreement may be subject to changes, Vquest Inc will make every reasonable effort to contact the Affiliate when a change is made.  
7.2 The term of this Agreement shall be indefinite. VQuest Inc reserves the right to terminate this Agreement at any time, without cause. Delivery of notice via e-mail shall be considered sufficient notice to the Affiliate.
7.3 Upon termination of this Agreement you shall immediately cease using VQuest Inc’s marks and remove VQuest Inc’s Content from your sit

7.4 Any warranties, indemnities and obligations, which by their nature are designed to survive termination, shall extend beyond the termination of this Agreement.
7.5 Upon termination of this Agreement you shall be entitled to all unpaid commissions earned prior to the date and hour of termination. The Affiliate shall not be entitled to receive commissions for referrals delivered after the date of termination. Nor shall the Affiliate receive any payment if their account was terminated for illegal content, spamming, deception, fraud, or falsification of sign-ups.
The Affiliate upon termination of this agreement will be entitled to all unpaid commissions earn prior to the day of termination. The affiliate agrees that they will not receive further commissions or monies from Vquest Inc after termination has occurred, excluding unpaid accrued amounts that were generated prior to termination. The affiliate additional will not be paid a commission should their termination be a result of illegal or fraudulent activities, spamming, dis-honest business practices etc.  
 
8. Acceptance and Execution of Agreement:
By filling out and sending the sign-up form you are agreeing to be bound by the terms of this Agreement and VQuest Inc is agreeing to become a counter-party to the Agreement. The date of execution shall be the date on which the form is forwarded to VQuest Inc. Any additional questions or comments please contact support@vqcash.com
By completing this sign up form on the Vqcash.com website you agree that you will be bound by the terms of this agree while it is in force. You agree that you are party to this agreement.
